Shimizu S-Pulse would like to give a supplemental explanation regarding the "Announcement of Transfer of Shinji Okazaki to VfB Stuttgart" (dated February 14, 2011) as follows:
1. Prior notice from Stuttgart (FIFA Regulations, Article 18-3)
The first and second sentences of the FIFA Regulations, Article 18-3 provide as follows:
"A club intending to conclude a contract with a Professional must inform his current club in writing before entering into negotiations with that Professional. (First Sentence) A Professional shall only be free to conclude a contract with another club if his contract with his present club has expired or will expire within six months. (Second Sentence)"
As evident from the wording of the First Sentence, even where a Professional's contract with his present club expires within six months, a "club", intending to conclude a contract with a Professional, must still notify the Professional's current club.
Based on the condition that written notice be provided from the former "club" to the other, the "Professional" has the freedom to conclude a contract with another club upon the expiry or within six months from the expiry date of the current contract (Second Sentence). This gives the Professional protection in securing another contract after the expiry of the current contract.
Therefore, any club entering into negotiation with Shinji Okazaki, without notifying S-Pulse in writing, is in breach of the above regulation even if negotiations occur within the 6 month period before January 31, 2011, the final date of the contract between S-Pulse and Shinji Okazaki. Due to media coverage, etc., S-Pulse was aware of Stuttgart's possible interest in Shinji Okazaki, nevertheless, S-Pulse never received any notice from Stuttgart regarding negotiations with Shinji Okazaki.
2. Issuance of International Transfer Certificate (ITC)
The issuance of the International Transfer Certificate (ITC) is a procedure to be undertaken by the Japan Football Association (JFA).
On February 1, 2011, S-Pulse was informed by the JFA that it had received an ITC request for Shinji Okazaki from Stuttgart, via the Deutscher Fussball Bund. This contained an entry regarding the "New Contract Start Date", which was described to be "January 31, 2011".
S-Pulse explained to the JFA that Shinji Okazaki remained under contract with S-Pulse on January 31, 2011. In response, the JFA contacted Stuttgart and the Deutscher Fussball Bund explaining that there seemed to be an error in the description and that the contract start date for Shinji Okazaki and Stuttgart should be corrected to "February 1, 2011". However, the Deutscher Fussball Bund responded that there was no error and that the contract start date for Shinji Okazaki and Stuttgart was indeed "January 31, 2011".
This response from the Deutscher Fussball Bund confirmed and further evidenced Stuttgart's breach of the FIFA Regulations. S-Pulse made a direct protest to Stuttgart and requested an execution of Shinji Okazaki's transfer agreement in order to resolve the dual contract situation. However, Stuttgart rejected this offer. S-Pulse therefore filed an application to FIFA and reported to the JFA.
FIFA Regulations, Annex 3 Article 2-6 states that "(t)he Former Association shall not issue an ITC if a contractual dispute has arisen between the Former Club and the Professional. The decision concerning whether or not to issue the ITC is determined by the JFA in accordance with the FIFA Regulations.
S-Pulse believes it had no choice but to report to the JFA regarding the correct end date of the contract between S-Pulse and Shinji Okazaki and to file an application to FIFA in response to Stuttgart's clear breach of the FIFA Regulations.
「岡崎慎司選手のシュツットガルト移籍に関する経緯について」（2011年2月13日リリース）について、下記の通り補足説明をさせていただきます。
?シュツットガルトからの事前通知（FIFA規則第18-3）について
FIFA規則第18-3項第1文及び第2文には、下記の定めが設けられています。
「選手と契約を締結しようとするクラブは、当該選手と交渉を開始するに先立ち、当該選手の現在所属しているクラブに対し、書面による通知をせねばならない(第1文)。選手は現在のクラブとの契約が終了するか、6ヶ月以内に終了する場合に限り、他のクラブと契約する自由が認められる(第2文)。」
本規則の文言上明らかなとおり、獲得を希望するクラブから所属クラブへの、交渉を開始する旨の書面通知の義務は、契約の残存期間が6ヶ月以内であっても適用されます(第1文)。このようなクラブからクラブへの書面による通知があることを前提にして、選手の契約期間終了後の契約機会保証のため、所属クラブとの契約期間が6ヶ月以内であれば、契約期間満了後について別のクラブと契約締結をする自由が選手に与えられています(第2文)。
従いまして、エスパルスと岡崎慎司選手の契約が終了する2011年1月31日まで6ヶ月以内であっても、他のクラブが、エスパルスに対する事前の書面による通知を行わずに岡崎慎司選手と交渉を持つことは同規則への違反となります。
エスパルスは、各種報道等から、シュツットガルトが岡崎慎司選手に興味を持っていた可能性は認識している一方、シュツットガルトからは、岡崎慎司選手との契約交渉を開始する旨の通知を受けておりません。
?国際移籍証明書（ITC）の発行について
岡崎慎司選手の国際移籍証明書（ITC）の発行は、(財)日本サッカー協会（JFA）が行う手続きとなります。
2011年2月1日、エスパルスはJFAより、シュツットガルトがドイツサッカー協会を通じて行なった岡崎慎司選手のITC発行依頼がJFAに届いた旨の連絡を受けました。ITCの発行依頼には、「新しいクラブとの契約の開始日」が記載されています。シュツットガルトがドイツサッカー協会を通じてJFAに通知したITC発行依頼には、岡崎慎司選手とシュツットガルトとの契約開始日が「2011年1月31日」と記載されていました。エスパルスは、2011年1月31日はエスパルスと岡崎慎司選手の契約期間中であることをJFAに説明し、JFAはこれを受けて、シュツットガルトおよびドイツサッカー協会に対して、ITC発行依頼の記載内容が誤りではないかと照会し、岡崎慎司選手とシュツットガルトとの契約開始日を「2011年2月1日」に訂正すべきと指摘しました。しかしながら、ドイツサッカー協会からは、岡崎慎司選手とシュツットガルトとの契約開始日は「2011年1月31日」で間違いない旨の回答がありました。
このドイツサッカー協会からの回答を受け、シュツットガルトによる明らかなFIFA規則の違反が確認されたため、エスパルスは本件についてシュツットガルトに直接抗議を行なうとともに、二重契約状態を解消すべく、岡崎慎司選手の移籍契約の締結をシュツットガルトに求めました。しかしながら、シュツットガルトがこれを拒否したため、やむなくシュツットガルトのFIFA規則違反についてFIFAに提訴し、その旨をJFAに報告しました。
FIFA規則第2-6項は、ITC発行の依頼を受けた協会は、当該移籍に関して契約上の問題が無いかどうかを確認し、仮に契約上の紛争が生じている場合はITCを発行しないことを定めていますが、ITCを発行するか否かはJFAがFIFA規則に従って決定することであります。
エスパルスとしては、エスパルスと岡崎慎司選手との契約終了日について、事実と異なる報告をJFAにすることはできなかったことと、シュツットガルトのFIFA規則違反が明確であったため、これについてFIFAに提訴せざるを得なかったことをご理解ください。
